Terms & Conditions (AGB)

These terms govern offers and contracts between Sebastian Georgian Utoiu, acting as MOSS STUDIO (sole proprietorship, not entered in the commercial register), Hauptstrasse 30, 4127 Birsfelden, and clients. Swiss law applies. Venue: Basel-Landschaft (seat), to the extent permitted by law.

Offers and fixed prices

Package prices on our website are fixed for the published scope. We do not negotiate below published package prices. Quotes remain valid for the period stated on the offer (default 14 days unless otherwise written).

Scope and revisions

Each package includes the deliverables and revision rounds described in the offer or product page. Work outside that scope is extra work billed at CHF 120/hour, payable in advance before we start.

Payment

• One-time projects: 50% advance on signing — no exceptions. Balance due on delivery / go-live as stated in the offer.
• Subscriptions (e.g. Growth): invoiced monthly in advance.
• Methods: bank transfer and TWINT.
• Late payment: we may pause work or access until outstanding amounts are paid. Reminder costs may be charged where permitted by law.

MOSS STUDIO is not yet VAT-registered; invoices currently do not include VAT.

Flagship — MOSS One

MOSS One is sold as CHF 1’290 one-time build plus MOSS Website at CHF 490/month, signed together. Delivery guarantee: website delivered within 10 working days of receipt of complete client materials, or −10% off the build price.

Subscriptions

Cancellable monthly with 30 days’ notice. The subscription price is locked for 12 months from the start date, then may be adjusted with notice.

Hosting and domain

Year-1 .ch domain + hosting on MOSS STUDIO infrastructure is included in web packages as described on the product pages. If the subscription ends: hosting continues until the end of year 1; afterwards you may take a basic care plan (CHF 25–35/month) or request full domain transfer and complete export. You are never locked in without an exit path. Details: Hosting & domain.

Intellectual property

Upon full payment, rights in the agreed deliverables transfer to the client as stated in the offer. Pre-existing MOSS STUDIO tools, frameworks and know-how remain ours. Third-party licences (fonts, stock, plugins) stay under their own terms.

Liability

We are liable for intentional and grossly negligent damage under Swiss law. For slight negligence, liability is limited to the fees paid for the affected service in the twelve months before the claim, except where mandatory law provides otherwise. We are not liable for indirect damage, lost profit or data loss beyond reasonable backup duties agreed in writing.

Force majeure

Neither party is liable for delays caused by events beyond reasonable control (including major outages, natural events, strikes, pandemic restrictions). Deadlines extend for the duration of the disruption.

Final provisions

If a clause is invalid, the remainder stays in force. Amendments require written form (including email) unless mandatory law requires otherwise. Related public policies: Payment, Cancellation, Guarantees.
